These Terms of Service ("Terms") govern your access to and use of the VenueSnap mobile applications, website, and related services (collectively, the "Services") operated by VenueSnap LLC ("VenueSnap," "we," "our," or "us").
By accessing or using the Services, or by creating an account, you acknowledge that you have read and understood these Terms of Service.
VenueSnap is a venue discovery and lead-generation platform that helps consumers discover venues, connect directly with participating businesses, and inquire about hosting events.

VenueSnap provides technology that enables consumers and businesses to connect. Any agreement resulting from a request or reservation is solely between the consumer and the participating business.

Information on the Services is provided for general informational and lead-generation purposes. You are responsible for independently verifying material information, including availability, pricing, amenities, policies, licensing, suitability, and safety, before entering into any agreement or making a payment.
Browsing listings and submitting requests is currently free for consumers. Listing a venue on VenueSnap is currently free for businesses.
VenueSnap reserves the right to introduce fees, paid business subscriptions, or other charges in the future. If we do, we will provide advance notice before any such fees apply to you, except where a change is required by law or applies to a new service or feature you elect to use.
Users are responsible for any taxes, fees, or governmental charges arising from transactions or services arranged with a participating business, except taxes imposed on VenueSnap's net income.
You must be at least 18 years old to create an account or use the Services. By creating an account, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

Businesses that create a Business Account may also be subject to separate Business Account Terms published by VenueSnap, which may supplement these Terms and govern Business Accounts, subscriptions, advertising, and other commercial aspects of the Services. If separate Business Account Terms are presented to you, they will apply to the extent stated in those terms.
Businesses are responsible for ensuring that all information they publish through the Services is accurate and up to date.

Businesses remain solely responsible for the operation of their venue and the services they provide.
VenueSnap does not provide legal, financial, tax, insurance, safety, event-planning, or other professional advice through the Services. Users should consult appropriate professionals where necessary.
Businesses and users retain ownership of the content they submit to the Services, including photos, descriptions, logos, and other materials.
By submitting content, you represent that you have the necessary rights to do so and grant VenueSnap a non-exclusive, worldwide, royalty-free, transferable and sublicensable license to host, store, reproduce, modify as reasonably necessary for formatting, display, publicly perform, publicly display, distribute, and otherwise use that content solely to operate, promote, and improve the Services. This license continues for so long as reasonably necessary to operate the Services and for a reasonable period thereafter for backup, archival, legal, or recordkeeping purposes.
You remain responsible for the content you submit.
VenueSnap strives to provide a trustworthy platform for consumers and businesses.
To protect the integrity of the Services, VenueSnap may suspend, restrict, remove, or refuse listings or accounts when, in our reasonable judgment, it is necessary to protect users, businesses, or the platform, including where permitted under the Acceptable Use Policy.

Payment for a business subscription does not guarantee continued participation on the Services. Businesses are expected to comply with these Terms and any applicable Business Account Terms at all times.
If VenueSnap terminates a paid business subscription for reasons other than fraud, illegal activity, or a material violation of these Terms, VenueSnap may, in its discretion, provide a prorated refund for the unused portion of the subscription.
VenueSnap helps consumers discover venues and connect directly with participating businesses regarding potential events, reservations, and venue services.
VenueSnap is not a party to any agreement, reservation, contract, or other arrangement between consumers and businesses and is not responsible for the outcome of any communications or transactions between them.
To the maximum extent permitted by law, you release and hold harmless VenueSnap LLC and its officers, directors, employees, and agents from claims arising out of or relating to disputes, communications, bookings, reservations, services, events, payments, injuries, property damage, or other dealings between you and a participating business, except to the extent caused by VenueSnap's own conduct that cannot lawfully be excluded or released.
Participating businesses are solely responsible for all aspects of their operations, including but not limited to:
Consumers are responsible for reviewing the information provided by each business and for communicating directly with the business regarding availability, pricing, policies, and other event details before making any decisions or entering into any agreement.
The VenueSnap name, logo, software, design, trademarks, branding, and other proprietary materials are owned by VenueSnap LLC or its licensors and are protected by applicable intellectual property laws.
Except as expressly permitted, you may not copy, reproduce, distribute, modify, or create derivative works from any part of the Services without prior written permission.
The Services may contain links to or integrations with third-party websites, applications, payment services, mapping services, analytics providers, or other services. VenueSnap does not control and is not responsible for third-party services, content, availability, security, or privacy practices. Your use of third-party services is subject to their applicable terms and policies.
VenueSnap may suspend or terminate accounts that violate these Terms, the Acceptable Use Policy, or create legal, operational, security, or reputational risks for the Services or its users. VenueSnap may also suspend or terminate access where reasonably necessary to protect the Services, users, or third parties.
Users may discontinue use of the Services at any time.
Account deletion is governed by our Privacy Policy.
The Services are provided on an "as is" and "as available" basis.
VenueSnap makes no warranties, express or implied, regarding the availability, reliability, accuracy, or suitability of the Services.
To the maximum extent permitted by law, VenueSnap LLC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to your use of the Services, even if VenueSnap has been advised of the possibility of such damages.
To the maximum extent permitted by law, VenueSnap LLC's aggregate liability for all claims arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid to VenueSnap for the Services during the twelve months preceding the event giving rise to the claim, or (b) $100. This limitation does not apply to liability that cannot lawfully be limited or excluded.
The foregoing limitations apply to the maximum extent permitted by applicable law and regardless of the legal theory on which a claim is based.
You agree to indemnify and hold harmless VenueSnap LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms or the Acceptable Use Policy, your content, or your violation of any third-party rights or applicable law.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles.
To the fullest extent permitted by law, any dispute, claim, or legal action arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the state or federal courts located in the Commonwealth of Kentucky, and you consent to the personal jurisdiction and venue of those courts. Nothing in this section prevents either party from seeking temporary or injunctive relief in any court of competent jurisdiction where necessary to protect intellectual property, confidential information, or the security of the Services.
VenueSnap may update these Terms periodically.
When material changes are made, the updated Effective Date will be revised and, where appropriate, additional notice may be provided.
Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
A failure by VenueSnap to enforce any provision of these Terms is not a waiver of its right to do so later.
